1.Articles of Organization
Like a corporation, a limited liability company is legal entity separate from its owners. An LLC comes into existence when it files articles of organization with a state. An enterprise that has not made this filing is treated as a sole proprietorship or a partnership even if it holds itself out as an LLC. Its owners do not enjoy the shield of limited liability from the debts and liabilities of the business provided by an LLC.
Forms for articles of organization are ordinarily available from the state office in which they are to be filed. However, our form also includes a form for certificates that can be issued to LLC members.
After articles of organization have been filed, amendments are needed if the LLC changes its name or type of management or if information in the articles of organization needs to be updated. Our form of articles of amendment is designed to be completed and filed in order to amend an LLC’s articles of organization.
