Form 9.4 is an assignment of lease providing for the contribution of the tenant's interest in a real property lease to an LLC. The assignment contemplates that the contribution will be made in exchange for an interest in the capital and profits of the LLC. The contribution may be all or part of the member's initial contribution to the capital of the LLC. But the form can be used for subsequent capital contributions as well. the tenant is a member of the LLC and will contribute the lease to the capital of the LLC. Although the form has been drafted for use in assigning an interest in a real property lease, it can easily be modified for use in assigning an interest in a personal property lease.
