Description:
Form 9.3 is an assignment of contract providing for the contribution of the rights of a purchaser under a real property purchase agreement to an LLC. The assignment contemplates that the contribution will be made in exchange for an interest in the capital and profits of the LLC. The contribution may all or part of the member's initial contribution. But the form can be used for subsequent contributions of capital as well. Although the form has been prepared for use in assigning an interest in a real property purchase agreement, it can easily be modified for use in assigning an interest in another type of contract.
