Form 2.1 is an operating agreement for a limited liability company with one member that has is managed by its member. In most states, an LLC is member managed unless an election to be managed by managers is made in the LLC's articles of organization. This form is appropriate for use in creating an LLC in which the sole member will also be the operator of the business, such as an LLC created to operate a business that has previously operated as a sole proprietorship.
