Twelve complete forms of operating agreement are on the CD-ROM, ranging from a simple operating agreement for a single member LLC that is member managed to a complex agreement for a multi-member LLC that is manager managed and provides investors with special allocations and a preferred return. Operating agreements for particular situations such as husband and wife LLCs, family LLCs, LLCs engaged in professional practice, and LLCs electing to be taxed as S corporations, are included. Also included on the CD-ROM is a set of optional and alternative operating agreement provisions that may come in handy when the provisions of our standard forms don't quite fit your situation or address all of your client's concerns.
Forms for member and manager action are on the CD-ROM, including a formal notice of meeting and a form of consent to action containing resolutions for adoption by the members or managers of an LLC.
The CD-ROM contains seven forms relating to the transfer of the interests of members in an LLC.
